Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the xbrl2json service operated at xbrl2json.co.uk ("Service", "we", "us", "our"). By registering for an account or using the Service you agree to be bound by these Terms. If you do not agree, you must not use the Service.


1. Definitions

  • "User", "you", "your" — any individual or entity that accesses or uses the Service.
  • "Content" — any XBRL, iXBRL, or other files you upload, and any JSON output generated from them.
  • "Free Tier" — the unpaid level of access with limited features and no document retention.
  • "Paid Plan" — a Starter or Pro subscription purchased through Stripe.

2. Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding agreement. By using the Service you represent that you meet these requirements.


3. Account responsibilities

  • You are responsible for maintaining the confidentiality of your credentials.
  • You must provide accurate information when registering and keep it up to date.
  • You are liable for all activity that occurs under your account.
  • You must notify us immediately if you suspect unauthorised access.

4. Acceptable use

You agree not to:

  • Upload files containing malware, viruses, or malicious code.
  • Attempt to circumvent usage limits, rate limits, or access controls.
  • Use the Service to process documents you do not have the right to process.
  • Reverse-engineer, scrape, or systematically extract data from the Service beyond its intended API.
  • Interfere with or disrupt the Service's infrastructure or other users' access.
  • Use the Service for any unlawful purpose.

We reserve the right to suspend or terminate your account without notice if you breach these rules.


5. Service description

xbrl2json allows you to upload XBRL and iXBRL documents, have them converted to structured JSON, and inspect, search, filter, and download the resulting data. Uploaded files are scanned for malware and processed by a third-party conversion engine.


6. Accuracy of output — no professional advice

  • The Service is provided as a data-conversion tool only. It does not constitute financial, accounting, tax, legal, or investment advice.
  • Output may contain errors, omissions, or inaccuracies resulting from malformed source documents, taxonomy changes, parser limitations, or software defects.
  • You are solely responsible for independently verifying any data before relying on it for decision-making, regulatory filings, or any other purpose.
  • We expressly disclaim any responsibility for decisions made, or actions taken, based on the output of the Service.

7. Availability and service levels

  • The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, timely, or error-free operation.
  • We may perform scheduled or emergency maintenance at any time, which may result in temporary unavailability.
  • We may modify, suspend, or discontinue any part of the Service — including features, APIs, or pricing tiers — at our sole discretion with reasonable notice where practicable.
  • We do not offer a Service Level Agreement (SLA) for any tier unless separately agreed in writing.

8. Your content, data, and retention

  • You retain ownership of the documents you upload.
  • By uploading Content you grant us a limited, non-exclusive licence to store, process, scan, and transmit it solely for the purpose of providing the Service.
  • Free Tier uploads are automatically deleted after processing. Paid Plan uploads are retained for the duration of your subscription and permanently deleted after a 30-day grace period following cancellation or expiry.
  • We perform regular backups but do not guarantee that your Content can be recovered in the event of data loss. You are responsible for keeping your own copies of any files you upload.

9. Third-party services

The Service relies on third-party providers including, but not limited to, Stripe (payments) and the PlanetIntelligence Arelle API (XBRL conversion). Your use of the Service is also subject to those providers' terms. We are not responsible for any outage, error, or data loss caused by third-party services.


10. Payments and subscriptions

  • Paid Plans are billed in advance on a recurring basis via Stripe.
  • All fees are stated in GBP and are non-refundable except where required by law.
  • We may change pricing with at least 30 days' notice. Continued use after the price change takes effect constitutes acceptance.
  • If payment fails, we may downgrade your account to the Free Tier after a reasonable grace period.

11. Intellectual property

All rights in the Service's software, design, logos, and documentation remain with us or our licensors. Nothing in these Terms grants you any right to use our trademarks or branding.


12. Limitation of liability

  1. No warranties. To the fullest extent permitted by law, the Service is provided without warranty of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
  2. No liability for output. We shall not be liable for any loss, damage, or expense arising from reliance on the accuracy, completeness, or reliability of any data, JSON output, or conversion result produced by the Service.
  3. No consequential damages. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunity, or goodwill, however caused and regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages.
  4. Aggregate cap. Our total cumulative liability to you for all claims arising out of or relating to the Service shall not exceed the greater of (i) the amount you have paid us in the 12 months preceding the claim, or (ii) £50.
  5. Third-party acts. We are not liable for any failure, delay, or error caused by third-party services, internet connectivity, upstream API providers, or events beyond our reasonable control (see Force Majeure, section 16).
  6. Statutory rights. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud.

13. Indemnification

You agree to indemnify and hold us harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) your use of the Service, (b) Content you upload, (c) your breach of these Terms, or (d) your violation of any third-party rights.


14. Suspension and termination

  • We may suspend or terminate your account at any time for breach of these Terms, abuse, non-payment, or any other reason at our reasonable discretion.
  • You may close your account at any time by contacting us. Closure does not entitle you to a refund of pre-paid fees.
  • Upon termination, your Content will be deleted in accordance with our retention policy. Sections that by their nature should survive (including sections 6, 12, 13, and 17) will continue in effect after termination.

15. Changes to these Terms

We may revise these Terms at any time. Material changes will be communicated via a notice on the website or by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.


16. Force majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, power or internet outages, government actions, or failures of third-party service providers.


17. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.


18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.


19. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
